Terms of Service
Effective July 7, 2026
These Terms of Service (“Terms”) govern your use of Invoak (the “Service”), a product of Distilled Intellect Inc. (“Distilled Intellect,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Age Requirement
Invoak is a product about alcoholic beverages and is intended only for adults of legal drinking age. By using the Service you represent and warrant that you are at least twenty-one (21) years of age (in the United States) or the legal drinking age in your jurisdiction, whichever is higher, and that you are not prohibited from receiving or using the Service under any applicable law. We may, at our discretion, request verification of age at any time and may suspend or terminate accounts that we believe do not meet this requirement.
2. Your Account
You may need to create an account to use some or all features of the Service. You agree to provide accurate information, to keep your credentials confidential, and to notify us promptly of any unauthorized use of your account. You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these Terms.

3. Subscriptions and Paid Features
Parts of the Service are available on a subscription basis (for example, our “Premium” tier). The following applies to subscriptions:
- Auto-renewal. Subscriptions automatically renew at the end of each billing period at the then-current rate unless cancelled before the renewal date.
- Billing. Subscriptions purchased through the Apple App Store or Google Play Store are billed by, and managed through, those platforms in accordance with their terms. Other billing channels, if offered, will be disclosed at the point of purchase.
- Cancellation. You may cancel a subscription at any time through the platform where you purchased it. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
- Refunds. Except where required by applicable law, fees are non-refundable. Refunds for purchases made through the App Store or Google Play are handled by those platforms.
- Changes. We may change subscription pricing or features. We will give reasonable advance notice of changes that affect existing subscribers, and changes will take effect at the next renewal.
4. Wine Purchases and Delivery (When Offered)
The Service may, from time to time, make it possible to purchase wine through third-party retail partners, including gift purchases. Where this feature is offered:
- The actual sale and shipment of wine is made by the third-party retailer or licensed seller, not by Distilled Intellect. The retailer’s terms, policies, and pricing apply to the transaction.
- You must be of legal drinking age and located in a jurisdiction where wine sale and delivery are permitted. An adult signature may be required upon delivery.
- Availability, pricing, taxes, shipping, and refund or return policies vary by retailer and by jurisdiction, and may change without notice.
- Distilled Intellect is not responsible for retailer fulfillment, delivery times, condition on arrival, or compliance with state or local alcohol laws.
5. Recommendations Are Informational
Wine recommendations, palate analyses, tasting notes, pairings, and other guidance produced by the Service are informational and provided for personal, non-professional use. They are generated by software, including artificial-intelligence models, and may be incomplete, inaccurate, or unsuitable for your specific situation.
The Service does not provide medical, dietary, allergy, or other professional advice. If you have a medical condition, allergy (including to sulfites), pregnancy-related concern, or other sensitivity, consult a qualified professional and use your own judgment before consuming any product recommended through the Service. Please drink responsibly.
6. Your Content
You may submit ratings, tasting notes, journal entries, photos, and other content to the Service (“Your Content”). You retain ownership of Your Content. By submitting it, you grant Distilled Intellect a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, display, and use Your Content solely for the purposes of operating, providing, improving, and securing the Service, including generating personalized recommendations for you and (where you choose to share) for your friends.
You are responsible for Your Content and represent that you have the rights necessary to submit it and that it does not violate these Terms or any law.
7. Acceptable Use
You agree not to:
- use the Service to violate any law, including laws relating to the sale, purchase, or shipment of alcoholic beverages;
- misrepresent your age or identity, or use the Service if you are under the legal drinking age;
- upload or share content that is unlawful, infringing, defamatory, harassing, hateful, sexually explicit, or otherwise objectionable;
- interfere with, disrupt, reverse-engineer, scrape, or attempt to gain unauthorized access to the Service;
- use the Service to send unsolicited communications or to impersonate any person or entity; or
- use the Service to harm minors in any way.
8. Third-Party Services
The Service may link to or integrate with third-party services (such as retail partners, payment processors, app store platforms, and shipping carriers). Your use of those services is governed by the third party’s terms and privacy practices, not these Terms. We are not responsible for third-party services.
9. Intellectual Property
The Service, including its software, designs, brand, and content (other than Your Content and third-party content), is owned by Distilled Intellect and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. All rights not expressly granted are reserved.
10. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that recommendations or other information produced by the Service will meet your expectations.
12. Limitation of Liability
To the maximum extent permitted by law, Distilled Intellect and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Distilled Intellect and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) Your Content, or (c) your violation of these Terms or any applicable law.
14. Termination
You may stop using the Service or close your account at any time; see close your account. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms or if we discontinue the Service. Sections of these Terms that by their nature should survive termination — including ownership, disclaimers, limitations of liability, indemnification, and governing law — will survive.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Effective” date above and, for material changes, take additional steps to notify users (for example, an in-app notice). Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the updated Terms.
16. Language
These Terms were drafted in English. Translations into other languages are provided for your convenience only. In the event of any conflict or inconsistency between the English version and a translation, the English version controls, to the extent permitted by applicable law.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. The exclusive venue for any dispute that is not subject to arbitration or small-claims jurisdiction will be the state or federal courts located in California, and you and Distilled Intellect each consent to the personal jurisdiction of those courts. Nothing in this section limits any non-waivable rights you may have under the laws of your jurisdiction of residence.
